Acceptance of Terms
Welcome to Prompt2File. These Terms of Use and Payment Policy govern your access to and use of the Prompt2File website, application, AI tools, dashboards, upload flows, payment flows, document-processing services, outputs, reports, translations, Excel files, and any related digital services. By accessing the website, creating an account, uploading a file, purchasing a service, using a free tool, starting a paid job, or downloading an output, you agree to be bound by these Terms. If you do not agree, do not use the website or the services. Prompt2File may update these Terms from time to time. Continued use of the services after an update constitutes acceptance of the updated Terms.
Definitions
"Prompt2File," "we," "us," or "our" means the operator of the Prompt2File website and services. "User," "you," or "your" means any person or entity that accesses the website, creates an account, uploads content, purchases a service, uses a subscription, or receives an output. "Services" means AI-powered digital tools and workflows, including but not limited to PDF translation, patent translation, document analysis, document summarization, Excel model generation, mortgage-related spreadsheet building, feasibility models, reports, dashboards, and other digital outputs. "User Content" means any file, document, PDF, spreadsheet, text, data, prompt, instruction, image, information, or other material uploaded, submitted, entered, or provided by you. "Output" means any translation, report, analysis, summary, spreadsheet, Excel file, PDF, Word document, dashboard, recommendation, calculation, model, or other AI-generated or system-generated result provided through the services. "One-Time Purchase" means a single purchase of a specific service, job, document-processing workflow, output, or defined deliverable. "Subscription" means recurring access to a defined service plan, subject to the limits, features, usage rules, and billing cycle shown at checkout or in your account.
Nature of the Services
Prompt2File provides AI-assisted digital document and data-processing services. The services are intended to help users create drafts, working files, preliminary translations, structured summaries, spreadsheet models, or other productivity outputs. The services and outputs are not professional advice. They do not constitute legal advice, patent advice, financial advice, mortgage advice, tax advice, accounting advice, engineering advice, investment advice, or any other regulated professional service. You are solely responsible for reviewing, validating, correcting, and approving every output before relying on it, submitting it, publishing it, using it in a transaction, presenting it to a third party, or making decisions based on it. Translations, including patent translations, are not certified, notarized, official, or legally binding translations unless explicitly stated in a separate written agreement.
Account Registration and Security
Some services may require you to create an account or sign in using an authentication provider. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You may not impersonate another person, use another person's account without authorization, create accounts to bypass limits, or use the services for fraudulent, abusive, unlawful, or misleading purposes. We may suspend, restrict, or terminate access to any account if we reasonably suspect a violation of these Terms, non-payment, fraud, abuse, security risk, misuse of the services, or unlawful activity.
User Content and File Uploads
You represent and warrant that you have all rights, permissions, licenses, and legal authority required to upload and process the User Content you submit to Prompt2File. You must not upload content that is unlawful, infringing, confidential without authorization, malicious, defamatory, deceptive, harmful, or otherwise violates the rights of any third party. You are solely responsible for the accuracy, legality, quality, completeness, and suitability of your User Content. Outputs depend on the content and instructions you provide. If you upload a file before payment for the purpose of quote generation, pre-check, or service configuration, the file may be stored temporarily and may be deleted automatically if payment is not completed.
Pre-Check, Quote, and Payment Flow
For some services, Prompt2File may allow you to upload a file or enter information before payment. In this case, the system may perform a limited pre-check, such as file type, file size, estimated page count, language selection, service type, or technical compatibility. The pre-check is not the full AI job and does not guarantee that the final output will meet any specific expectation. It is used to estimate the service scope, pricing tier, or whether a custom quote is required. No full paid job should begin until payment has been confirmed by the payment provider. A job may remain in "Pending Payment," "Queued," or similar status until payment confirmation is received. If payment is not completed, uploaded files may be automatically deleted after the retention period set by the platform.
One-Time Purchases
A One-Time Purchase grants access only to the specific service, job, output, file, document, or deliverable selected at checkout. A One-Time Purchase does not include ongoing access, subscription benefits, unlimited usage, future services, additional documents, repeated processing, human review, custom consulting, or revisions unless expressly stated at checkout. Each One-Time Purchase is subject to the limits shown at checkout, including page limits, word limits, file-size limits, language limits, format limits, model type, processing complexity, and delivery format. If you submit a file that exceeds the stated limits or is technically unsuitable, we may decline the job, request an additional payment, offer a custom quote, or provide a limited output, subject to applicable law.
Monthly or Recurring Subscriptions
A Subscription provides access to the services, features, usage limits, and plan benefits described at the time of purchase or in your account dashboard. Subscriptions renew automatically at the end of each billing period unless canceled before the next billing date. By purchasing a Subscription, you authorize recurring charges through the payment provider. A Subscription does not mean unlimited processing unless explicitly stated. Subscriptions may include fair-use limits, monthly quotas, page limits, storage limits, rate limits, file-size limits, priority levels, tool availability, and other technical or commercial restrictions. We may modify, suspend, limit, replace, or discontinue subscription plans, features, quotas, or pricing. Where required, we will provide notice or apply changes only to future billing periods.
Difference Between One-Time Purchases and Subscriptions
A One-Time Purchase is for one specific paid job or deliverable. A Subscription is for recurring access to a defined service plan during the active billing period. A One-Time Purchase is charged once. A Subscription is charged repeatedly until canceled. A One-Time Purchase does not renew. A Subscription renews automatically unless canceled before the next billing date. A One-Time Purchase does not include subscription features, recurring credits, account benefits, priority processing, or access to other tools unless expressly included. A Subscription includes only the benefits listed for that plan. Canceling a Subscription stops future renewal charges but does not automatically refund charges already incurred, unless required by applicable law or expressly approved by us.
Pricing, Taxes, Currency, and Payment Provider
Prices are shown before checkout and may be changed at any time for future purchases. Payments may be processed by a third-party payment provider or merchant-of-record provider. The final price may include taxes, VAT, sales tax, currency conversion, local payment fees, card fees, or other charges depending on your location and the payment method. We do not store full credit card details. Payment processing, fraud checks, refunds, chargebacks, invoices, tax calculation, and payment support may be handled by the payment provider according to its own terms. You are responsible for ensuring that your billing information is accurate and that you are authorized to use the payment method provided.
Refund Policy
Payments are processed by Paddle.com, acting as Merchant of Record for all purchases. You may request a refund within 14 days of purchase. To request a refund, contact Paddle directly at paddle.net, or email us at prompt2file@gmail.com and we will refer your request to Paddle. Refund requests are reviewed by us and/or Paddle in accordance with Paddle's Refund Policy (https://www.paddle.com/legal/refund-policy) and applicable consumer-protection law. Refunds may be declined in cases of abuse, such as repeated refund requests after full delivery and consumption of outputs, or fraudulent use of the services. If a product is materially defective, or a paid job did not run due to a platform error attributable to Prompt2File, contact our support and we will offer a correction, re-run, or refund. Approved refunds are returned to the original payment method. Upon issuance of a refund, access to the relevant product, output, or credits ceases. Nothing in this policy limits any non-waivable statutory rights you may have under applicable law, including statutory withdrawal rights in the EU/EEA, UK, and Israel.
Subscription Cancellation Policy
You may cancel a Subscription before the next billing date through your account, the payment provider, or by contacting support if account cancellation tools are unavailable. Cancellation prevents future renewal charges. It does not create a right to a refund for the current or previous billing periods, unused time, unused quotas, unused credits, non-use, partial use, or failure to cancel before renewal, except where required by applicable law. The 14-day refund window described in the Refund Policy applies to the initial subscription purchase. Renewal payments are non-refundable except where mandatory law provides otherwise, but you can cancel at any time to prevent future charges. After cancellation, access to subscription benefits may end at the end of the paid billing period or earlier if required for technical, legal, security, abuse-prevention, or payment-related reasons.
Output Quality, Errors, and User Responsibility
AI-generated outputs may contain errors, omissions, mistranslations, formatting issues, incorrect assumptions, inaccurate calculations, incomplete summaries, or misleading phrasing. You must independently review all outputs. For legal, patent, financial, mortgage, tax, engineering, regulatory, medical, or other professional uses, you must consult a qualified professional before relying on the output. Prompt2File does not guarantee that any output is accurate, complete, fit for a particular purpose, legally valid, compliant, official, certified, acceptable to any authority, or suitable for filing, submission, investment, financing, or business decision-making.
Service Availability and Processing Times
We aim to provide reliable service, but we do not guarantee uninterrupted availability, instant processing, fixed delivery times, or error-free operation. Processing may be delayed or fail due to file quality, file size, unsupported formats, scanned PDFs, OCR limitations, language complexity, external AI provider limits, payment-provider delays, API outages, maintenance, storage issues, security checks, or other technical reasons. We may modify, suspend, restrict, or discontinue any part of the services at any time.
Storage, Deletion, and Download Responsibility
Files and outputs may be stored temporarily for processing, download, support, audit, fraud prevention, security, and account management. Uploaded files, unpaid uploads, and generated outputs may be automatically deleted after platform-defined retention periods. We do not guarantee permanent storage of any file or output. You are responsible for downloading and securely storing your outputs before they expire or are deleted.
Privacy and Data Processing
Our processing of personal data and files is further described in the Privacy Policy. By using the services, you consent to the processing of User Content and account data as needed to provide the services, manage payments, provide support, improve reliability, detect abuse, and comply with legal obligations. Do not upload highly sensitive personal, confidential, classified, regulated, or third-party information unless you have authority to do so and understand the risks of using AI-assisted cloud services. You may request account deletion through the available account tools or by contacting support, subject to legal, payment, tax, audit, fraud-prevention, and backup retention requirements.
Prohibited Uses
You may not use the services to violate laws, infringe rights, process content without authorization, bypass payments, reverse engineer the platform, scrape data, overload the system, submit malicious files, interfere with security, exploit bugs, resell outputs in a misleading manner, or present AI-generated outputs as certified professional advice without appropriate review. You may not attempt to manipulate payment status, webhook logic, account limits, subscription rules, credits, admin features, storage permissions, or access controls.
Intellectual Property
Prompt2File and its licensors retain all rights in the website, software, design, workflows, prompts, system logic, brand, templates, interfaces, documentation, and platform components. You retain rights you lawfully hold in your User Content. You grant Prompt2File a limited license to host, process, transmit, analyze, convert, store, and display User Content solely as needed to provide and operate the services, support users, secure the platform, and comply with legal obligations. You may not copy, resell, clone, reproduce, distribute, modify, create derivative platforms from, or commercially exploit the services except as expressly permitted in writing.
Third-Party Services
The services may rely on third-party providers for hosting, authentication, storage, AI processing, payment processing, analytics, email delivery, fraud prevention, and other functions. We are not responsible for failures, outages, errors, data-processing decisions, fees, refunds, chargebacks, account holds, or policy enforcement by third-party providers.
Disclaimers
The services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Prompt2File disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, and error-free operation. No statement on the website, in an output, in a support message, or in marketing material creates a professional-client relationship or a guarantee of results.
Limitation of Liability
To the maximum extent permitted by law, Prompt2File, its owners, operators, employees, contractors, suppliers, and partners will not be liable for indirect, incidental, special, consequential, punitive, business, financial, legal, professional, regulatory, reputational, data-loss, profit-loss, or opportunity-loss damages arising from or related to the services or outputs. To the maximum extent permitted by law, Prompt2File's total aggregate liability for any claim will not exceed the amount actually paid by you for the specific service giving rise to the claim during the one month preceding the event, or USD 50, whichever is lower.
Indemnification
You agree to defend, indemnify, and hold harmless Prompt2File and its owners, operators, employees, contractors, suppliers, and partners from and against any claims, damages, losses, liabilities, costs, and expenses arising from your User Content, your use of the services, your violation of these Terms, your violation of law, or your infringement of third-party rights.
Termination
We may suspend or terminate your access to the services at any time if we believe you violated these Terms, created risk, failed to pay, abused the services, violated third-party rights, or engaged in unlawful, fraudulent, or harmful activity. Upon termination, your right to use the services ends immediately. Files, outputs, and account data may be deleted according to our retention rules and legal obligations.
Governing Law and Disputes
These Terms are governed by the laws of the State of Israel, subject to any mandatory consumer-protection laws that apply to you and cannot be waived. Any dispute will be resolved in the competent courts in Israel, unless mandatory law provides otherwise.
